Introduction

This End User License Agreement (“Agreement”) governs your installation and use of Kernaro Assist (“Software”),

An AI-powered add-in and desktop extension designed to work with Sparx Systems Enterprise Architect.

By installing, accessing, or using the Software, you agree to be bound by the terms and conditions of this Agreement.

If you do not agree to these terms, do not install or use the Software.

1. License Grant

Subject to the terms of this Agreement, Sparx Systems Pty Ltd grants you a limited, non-exclusive,

non-transferable, and revocable license to install and use the Software for internal business purposes.

The Software may only be used by:

  • Licensed users of Sparx Systems Enterprise Architect
  • Customers who possess a valid Kernaro Assist product license

The Software is distributed via installer and may not be redistributed without prior written permission from Sparx Systems Pty Ltd.

2. Distribution Restriction

The Software, including installers, documentation, updates, or related materials, is provided solely to authorized users for internal usage.

The Software must not be copied, redistributed, shared, published, mirrored, uploaded, or otherwise made available to any third party without prior written consent from Sparx Systems Pty Ltd.

Unauthorized distribution, sharing, or public availability of the Software is strictly prohibited.

3. Restrictions

You may not:

    a) Modify, translate, adapt, or create derivative works based on the Software

    b) Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Software, except were permitted by applicable law

    c) Sublicense, lease, rent, loan, sell, or distribute the Software to any third party

    d) Remove or alter any proprietary notices, trademarks, or labels contained within the Software

4. Intellectual Property

  • The Software and all related materials are protected by copyright and intellectual property laws.
  • All rights, titles, and interest in and to the Software remain the exclusive property of Sparx Systems Pty Ltd.
  • This Agreement grants you only a limited license to use the Software and does not transfer any ownership rights.

5. Artificial Intelligence and External Services

Kernaro Assist integrates with external artificial intelligence services and language models to generate responses and assist users in interacting with Enterprise Architect models.

Supported AI providers may include cloud-based services such as:

  • Azure OpenAI
  • Anthropic Claude
  • Other supported cloud-based AI models

Users may be required to supply their own API credentials or licenses to access these services.

Sparx Systems Pty Ltd does not use customer data submitted through the Software to train AI models.

Users acknowledge that:

  • AI generated outputs may be incomplete, inaccurate, or misleading
  • AI generated responses should always be reviewed and validated by users
  • The Software should not be solely relied upon for automated decision making

On-premise large language model support may vary depending on supported product capabilities and configurations.

6. Data Usage and Telemetry

  • The Software may collect limited diagnostic data such as operational logs, error reports, or usage metrics to improve stability and functionality.
  • Collection of such telemetry is optional and configurable within the Software.
  • Users are responsible for ensuring that any data processed through the Software complies with their internal data governance and security policies.

7. Support

  • Support for Kernaro Assist is provided on a best effort basis via email communication.
  • Sparx Systems Pty Ltd does not guarantee specific response times, fixes, or updates.

8. Feedback and Issue Reporting

  • Users are encouraged to report issues, feedback, or suggestions related to the Software by contacting:

Any feedback, suggestions, or issue reports submitted may be used by Sparx Systems Pty Ltd to improve the Software without any obligation or compensation to the user.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARX SYSTEMS PTY LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED,

INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF AI GENERATED OUTPUTS

Use of the Software is entirely at the user’s own risk.

10. Limitation of Liability

IN NO EVENT SHALL SPARX SYSTEMS PTY LTD, ITS EMPLOYEES, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY INDIRECT,

INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE.

This includes but is not limited to:

  • Data loss
  • Business interruption
  • System failure
  • Loss of profits

Even though Sparx Systems Pty Ltd has been advised of the possibility of such damage.

11. Termination

This Agreement is effective until terminated.

  • Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms.
  • Upon termination, you must immediately cease using the Software and remove all installed copies.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles.

13. Acceptance

By installing or using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
